Billing
Movo will not be obligated to commence implementation or provide platform access until the Launch Package Fee and Onboarding Fee are received. Upon tier advancement during the Term, the difference between the fee for Customer’s prior tier and the fee for the new tier for the then-current Term shall be invoiced in full at the time of tier advancement and is due within fifteen (15) days of the invoice date. Renewal terms, if any, will be invoiced in full in advance of the renewal term at the applicable tier fee.
Definitions
“Cumulative Lead Volume” means the total number of unique leads submitted to and made available for processing by the Service during the Term, including any additional lead equivalents counted under the Lead Allocation section below.
Lead Allocation
Each lead is allocated a maximum of the voice minutes and SMS messages set forth in the tier table below (Schedule A). If a lead’s engagement exceeds this allocation, it shall be counted as an additional lead for tier-tracking purposes.

Usage above the Network tier ceiling (55,000 cumulative leads) shall be governed by a separate written agreement negotiated in good faith between the Parties. If Customer's Cumulative Lead Volume exceeds 55,000 leads before such agreement is executed, Movo may, upon fifteen (15) days' written notice, suspend processing of leads in excess of 55,000 until such agreement is executed.
Overage. Each tier includes Cumulative Lead Volume up to the upper bound set forth above at the annual fee. Leads processed above the upper bound shall be billed monthly in arrears at a per-lead rate equal to 120% of the then-current tier's effective per-lead rate (annual fee divided by tier ceiling). When cumulative overage exceeds ten percent (10%) of the then-current tier ceiling, Customer shall automatically advance to the next tier pursuant to the Tier Advancement paragraph below, and overage charges shall cease as of the advancement effective date.
Tier Advancement. If Cumulative Lead Volume exceeds the current tier's upper bound by more than ten percent (10%), Customer automatically advances to the next tier, effective the first day of the following billing cycle. Movo will give written notice of the new tier, effective date, and fees due. Advancement does not require Customer consent, is not reversible during the Term, and gives no right of cancellation or refund; Customer remains responsible for all fees arising from advancement for the full Term.
Dispute of Lead Volume. Customer may dispute in good faith any Cumulative Lead Volume calculation by written notice within fifteen (15) days of Movo’s tier advancement notice, specifying the basis for the dispute in reasonable detail. During such dispute, Customer shall continue to pay at the prior tier rate, and any underpayment shall be trued up within thirty (30) days after resolution of the dispute. If Customer does not deliver a written dispute notice within the fifteen (15)-day period, the Cumulative Lead Volume calculation set forth in Movo’s notice shall be deemed accepted.
Schedule B: Expansion Pricing
Customer may expand its deployment during the Term at the pre-negotiated rates set forth below. Schedule B rates are valid for the initial Term and are subject to update at renewal. Movo may update Schedule B rates by providing written notice at least sixty (60) days prior to renewal. Schedule B may be updated in any subsequent Order Form, renewal Order Form, statement of work, or written amendment signed by the Parties.
